Terms of Service
Effective date: 7 January 2026These Terms of Service ("Terms") govern your access to and use of: (a) the website located at tailyx.ai (the "Site"), and (b) Tailyx's products and services, including the admin console, APIs, and embedded chat widgets (collectively, the "Services").
These Terms form a legally binding agreement between you and Discover Up LLP ("Tailyx", "we", "us", "our"). If you do not agree, do not use the Site or Services.

1. Who You Are (Individuals vs. Businesses)
- Individual use: If you use the Services personally, you represent that you are at least 18 years old and able to enter into this agreement.
- Business use: If you use the Services on behalf of a company or other entity, you represent that you have authority to bind that entity. In that case, "you" and "your" refer to the entity and its authorized users.
2. What Tailyx Does
Tailyx provides tools to help businesses capture and qualify inbound leads, including: chat widgets, qualification questions (e.g., BANT-style), lead scoring and segmentation, optional enrichment, routing, and automated follow-up workflows.
Important: Tailyx provides software and automation. We do not guarantee sales outcomes, and our scoring/enrichment may be probabilistic and imperfect.
3. Privacy, Data Roles, and Your Responsibilities
Your use of the Services is also governed by our Privacy Policy, which explains how we collect and use data.
3.1 Controller vs. Processor (widget on customer websites)
When a Tailyx widget runs on a customer's website, the customer is typically the data controller for lead data collected on their site, and Tailyx acts as a data processor/service provider, processing data on the customer's instructions.
3.2 Customer obligations (very important)
If you are a customer using Tailyx on your website, you agree that you will:
- Provide legally required notices and obtain any required consents from your website visitors/leads.
- Only collect and process personal data in accordance with applicable laws (including PDPA and any other applicable regulations).
- Not request or submit sensitive data unless you have a lawful basis and appropriate safeguards.
- Be responsible for how you use lead data, scoring outputs, enrichment results, and automation actions.
3.3 Data Processing Addendum (DPA)
If we provide a Data Processing Addendum (DPA) to you, and you sign or accept it, the DPA will govern how we process personal data on your behalf and will take precedence over these Terms to the extent of any conflict.
4. Accounts, Access, and Security
- Account security: You are responsible for maintaining the confidentiality of your login credentials.
- Authorized users: You are responsible for the actions of anyone who accesses the Services through your account.
- Security incidents: You must promptly notify us if you suspect unauthorized access to your account.
5. Acceptable Use Policy
You agree not to (and not to allow others to):
- Use the Site or Services in violation of any law or regulation.
- Use the Services to send spam, phishing, or unlawful marketing messages.
- Collect, store, or transmit personal data in a way that violates privacy laws or third-party rights.
- Use the Services to harass, threaten, or abuse any person.
- Attempt to gain unauthorized access to systems, accounts, or data.
- Reverse engineer, decompile, or attempt to extract source code except to the extent permitted by law.
- Use bots/scrapers to access the Site in a way that harms the service, bypasses controls, or overloads infrastructure.
- Upload malware or other harmful code.
We may suspend or terminate access if we reasonably believe you have violated this section or pose a security risk.
6. AI, Scoring, Enrichment, and Automation Disclaimers
6.1 No guarantee of accuracy
Lead scoring, segmentation, and enrichment may be generated automatically and may be incomplete, inaccurate, or outdated. You are responsible for reviewing outputs before relying on them for decisions.
6.2 No professional advice
The Services are not legal, financial, compliance, or professional advice. Use qualified professionals for those needs.
6.3 Email and follow-up responsibility
If you enable automated messaging (including emails), you are responsible for ensuring compliance with applicable marketing, anti-spam, and consent requirements, and for configuring safe rules (e.g., suppressing sends after replies).
7. Subscriptions, Billing, and Payments
- Fees: Some features may require payment. Pricing and plan terms will be shown at checkout or in your account settings.
- Taxes: You are responsible for applicable taxes unless we state otherwise.
- Non-payment: We may suspend or terminate access for non-payment.
- Trials/beta: If you are using an alpha/beta/trial, features may change or be removed and may be provided without warranty.
8. Intellectual Property
8.1 Our IP
The Site and Services, including software, designs, and trademarks, are owned by Tailyx or its licensors and are protected by law. Except for the limited rights granted to you to use the Services, we reserve all rights.
8.2 Your content
You (or your customers/leads, as applicable) retain ownership of content you submit to the Services (e.g., widget configuration text, templates, messages).
8.3 License to operate the Services
You grant Tailyx a limited, worldwide, non-exclusive license to host, process, transmit, and display your content solely to provide, maintain, and improve the Services, and as otherwise permitted by the Privacy Policy and any DPA.
8.4 Feedback
If you provide feedback or suggestions, you grant us the right to use it without restriction or compensation. Please do not submit feedback you consider confidential or proprietary.
9. Third-Party Services
The Services may integrate with or link to third-party services (e.g., email providers, analytics, enrichment sources). Your use of third-party services is governed by their terms and privacy policies, and Tailyx is not responsible for them.
10. Service Changes, Availability, and Support
- Changes: We may modify, suspend, or discontinue parts of the Services at any time.
- Downtime: The Services may be unavailable due to maintenance, outages, or factors outside our control.
- Support: We may provide support through channels listed on the Site, but we do not guarantee response times unless agreed in writing.
11. Suspension and Termination
11.1 Termination by you
You may stop using the Services at any time. If you have a paid subscription, cancellation terms will depend on your plan.
11.2 Termination by us
We may suspend or terminate your access if:
- You violate these Terms or applicable laws;
- Your use poses a security, legal, or operational risk;
- We are required to do so by law; or
- You fail to pay required fees.
11.3 Effect of termination
Upon termination, your right to use the Services ends. Sections that by their nature should survive (e.g., IP, disclaimers, limitation of liability, governing law) will survive.
12. Disclaimers
The Site and Services are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, Tailyx disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
13. Limitation of Liability
To the maximum extent permitted by law, Tailyx will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Site or Services.
To the maximum extent permitted by law, Tailyx's total liability for all claims related to the Services will not exceed the amount you paid to Tailyx for the Services in the 3 months before the event giving rise to the claim (or SGD 100, if you have not paid any amounts), whichever is greater.
Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
14. Indemnity
You agree to indemnify and hold harmless Tailyx and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:
- Your use of the Services;
- Your content, configurations, and templates;
- Your website notices and consents; or
- Your violation of these Terms or applicable law.
15. Governing Law and Dispute Resolution
These Terms are governed by the laws of Singapore, without regard to conflict-of-law rules. You agree that disputes arising out of or relating to these Terms or the Services will be subject to the exclusive jurisdiction of the courts of Singapore.
16. Changes to These Terms
We may update these Terms from time to time. The updated Terms will be posted on the Site with a new effective date. Your continued use of the Services after changes become effective means you accept the updated Terms.
17. Miscellaneous
- Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
- Assignment: You may not assign these Terms without our consent. We may assign these Terms as part of a merger, acquisition, or sale of assets.
- No waiver: Our failure to enforce a provision is not a waiver.
- Entire agreement: These Terms (and referenced policies) form the entire agreement regarding the Services.
